Terms of Service

Effective March 31, 2026

These Terms of Service govern your access to and use of the Aion website, hosted platform, APIs, and related services provided by Terminal Research LLC. By accessing or using Aion, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Services

Aion provides software and related services for hosting, routing, operating, and managing agent-based systems and associated workflows. We may modify, update, or discontinue features from time to time.

2. Eligibility and Accounts

You must be legally able to enter into these Terms and comply with all applicable laws to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You must provide accurate registration information and promptly update it if it changes.
  • You may not share credentials in a way that circumvents seat, access, or security controls.
  • You must promptly notify us if you suspect unauthorized access to your account or the Services.

3. Customer Responsibilities

You are responsible for your use of the Services, your customer content, your configurations, your integrations, and your users. You are also responsible for obtaining any notices, consents, and rights needed for data you submit to the Services.

You are responsible for evaluating whether the Services are appropriate for your use case, including uses involving automation, agent execution, sensitive data, regulatory obligations, or production systems.

4. Acceptable Use

You may not use the Services to violate law, infringe rights, or interfere with the integrity, security, or availability of the Services or third-party systems.

  • Prohibited conduct includes attempting unauthorized access, bypassing access controls, probing or disrupting infrastructure, introducing malicious code, reverse engineering except where prohibited by law, reselling the Services except as authorized, or using the Services to develop or distribute unlawful, harmful, fraudulent, or abusive content or workflows.
  • You may not submit content that you do not have rights to use or that causes us or our vendors to violate law or third-party obligations.

5. Fees and Payment

If you purchase paid Services, you agree to pay applicable fees, taxes, and charges in accordance with the pricing and billing terms presented to you. Unless otherwise stated, fees are non-refundable except as required by law or expressly stated in a written agreement.

6. Intellectual Property

Terminal Research LLC and its licensors retain all rights, title, and interest in and to the Services, including all related software, documentation, branding, and improvements. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Services during the applicable term.

As between you and Terminal Research LLC, you retain ownership of customer content. You grant us and our subprocessors a limited right to host, process, transmit, display, and otherwise use customer content as necessary to provide, secure, maintain, and improve the Services, enforce these Terms, and comply with law.

7. Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant Terminal Research LLC a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and exploit that feedback without restriction or compensation.

8. Confidentiality

Each party may receive non-public information from the other that is designated as confidential or that reasonably should be understood as confidential. The receiving party will use such information only as needed to perform under these Terms and will protect it using reasonable care. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, lawfully obtained from a third party, or required to be disclosed by law.

9. Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, your use poses a security or legal risk, payment is overdue, or continued access could harm us, our users, or third parties. You may stop using the Services at any time. We may also discontinue the Services or any part of them.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERMINAL RESEARCH LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR ANY PARTICULAR USE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERMINAL RESEARCH LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF TERMINAL RESEARCH LLC ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS PAID OR PAYABLE BY YOU TO TERMINAL RESEARCH LLC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS.

12. Indemnity

You will defend, indemnify, and hold harmless Terminal Research LLC and its affiliates, officers, employees, agents, suppliers, and licensors from and against third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your customer content, your violation of these Terms, or your violation of applicable law or third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action arising out of or relating to these Terms or the Services must be brought in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction and venue of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the website, updating the effective date, or using other appropriate means. By continuing to use the Services after the updated Terms become effective, you agree to the revised Terms.

15. General

These Terms are the entire agreement between you and Terminal Research LLC regarding the Services unless superseded by a separate written agreement. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent, and we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
